Προφορική έγκριση του ΑΣ στον Γαλανό για τις συζητήσεις με την πλευρά του Ολιβερ

Το ενδιαφέρον του Λούις Ολιβερ για τον ΑΡΗ επανέρχεται στο προσκήνιο μετά από λίγους μήνες, με τον Ισπανό μάλιστα να έχει συνάντηση χτες με τον Γιώργο Γαλανό.

Οι δύο πλευρές τα είπαν για αρκετή ώρα και ο υπεύθυνος του ποδοσφαιρικού τμήματος, έχοντας πάρει προφορική έγκριση για τις συζητήσεις από τον ΑΣ όπως διαρρέεται, ζήτησε εγγυήσεις  που να επιβεβαιώνουν την αξιοπιστία της πρότασης.

Το παράδοξο της όλης υπόθεσης είναι πως αυτή, είναι ακριβώς ίδια με εκείνη που έγινε στον Χάρη Παπαγεωργίου. Περιλαμβάνει δηλαδή την εγγυητική ύψους 3 εκατ. ευρώ, την άμεση διάθεση 1 εκατ. σε κοινό λογαριασμό ΑΡΗ-Ολιβερ και την επιστροφή των χρημάτων που διέθεσε ο κ. Γαλανός για την ομάδα. Ο τελευταίoς πάντως ήταν έντονα ενοχλημένος για τις συζητήσεις με τους Ισπανούς και πίεζε τον τότε πρόεδρο του ΑΣ να αποχωρήσει από τη θέση του, καθώς έκρινε την πλευρά των Ισπανών αναξιόπιστη. Τώρα όμως φαίνεται πως άλλαξαν τα δεδομένα, από τη στιγμή που κάθεται στο ίδιο τραπέζι μαζί τους.

Η ουσία και αυτό που απασχολεί τους πάντες είναι να προστατευτούν τα συμφέροντα του συλλόγου.  Αν φυσικά η πρόταση του Ολιβερ είναι όντως αξιόπιστη, τότε καλώς να ορίσει, όπως και ο κάθε Ολιβερ, ώστε να αλλάξει επίπεδο την ομάδα. Για ακόμη μία φορά όμως οι άνθρωποι του ΑΡΗ προχώρησαν σε επικοινωνιακό λάθος, καθώς έπρεπε να χειριστούν καλύτερα το όλο θέμα.

 Πρέπει επίσης να διερευνηθούν όλες οι καταγγελίες που έχουν να κάνουν με τον πατέρα του Ολιβερ και τα προβλήματα που έχει με την ισπανική δικαιοσύνη. Διαπιστωνούμε πως όλα αυτά, κάποιοι πολέμιοι των Ισπανών επί Παπαγεωργίου τώρα τα ξέχασαν, γιατί άλλαξε ο συνομιλητής τους. Εμείς παραθέτουμε το συμφωνητικό που είχε συνταχθεί ανάμεσα σε Ισπανούς και ΑΡΗ το καλοκαίρι, όπως το δημοσίευσε το μπλογκ “aristime.blogspot.gr

MUTUAL CONFIDENTIALITY AGREEMENT
THIS AGREEMENT is made on ……………….., 2014.
BETWEEN ………………………………………………………………, (henceforth referred to as the FC)

AND
Luis Oliver Sierra (Spanish ####### ID number) and domicile Calle Velazquez 113, Madrid 28006 Spain,
Luis Oliver Albesa (Spanish ####### ID number) and domiciled Calle Velazquez 113, Madrid 28006 Spain, and
Alexander Nicolai (####### German Passport) 25 Akti Miaouli Str Pireaus 18535 End, (henceforth referred to as the investors)
WHEREAS
a. […] acting in his capacity as the representative of the majority of shareholders of ARIS FC, have discussed to the investors the possibility of sale of FC assets to [investors’ company], or to any other the legal entity that they will appoint, according to Article 106IA of Bankruptcy Code – Law 3588/2007.
b. Prior to the disclosure of any information, the parties wish to sign this Confidentiality Agreement (“Mutual Confidentiality Agreement” or “the Agreement”) in order to protect their rights and interests.
NOW, THEREFORE, the parties agree as follows:
1. Definitions
The following words have these meanings in this Mutual Confidentiality Agreement unless the contrary intention appears
“Confidential Information” shall mean all information and material of the Disclosing Party of whatever nature (whether recorded or not and, if recorded, in whatever form, on whatever media and by whomsoever recorded) which is communicated or becomes available to, or accessible by the Receiving Party in the course of discussions, negotiations or relationships, information extracted from such materials relating to all or any part of the business, methods of business, methods of business and trade, property assets, activities, products, services, financial affairs, management, administration, customers, marketing information, trade secrets and know-how, computer software, data, information, databases, protocols, reference, implementation and documentation provided by the Disclosing Party to the Receiving Party under this Mutual Confidentiality Agreement.
“Receiving Party” shall mean any of the parties under this Mutual Confidentiality Agreement that receives Confidential Information from the other party by whatever means.
“Disclosing Party” shall mean any of the parties under this Mutual Confidentiality Agreement that discloses Confidential Information to the other party by whatever means.
2. Confidentiality Obligations
In consideration of the disclosure of the Confidential Information to each other, the Parties agree that:
a. The Receiving Party shall treat as confidential, and use all reasonable efforts to preserve the secrecy and confidentiality of all Confidential Information received from the Disclosing Party including implementing reasonable physical security measures and operating procedures.
b. The Receiving Party shall not, without the prior written consent of the Disclosing Party, make any disclosure whatsoever of any Confidential Information to others, provided however, that if the Receiving Party is a corporation, partnership or similar entity, disclosure is permitted to the Receiving Party`s officers, employees, contractors and agents who have a demonstrable need to know such personnel of the Confidential nature of the Confidential Information and the procedures required to maintain the confidentiality thereof.
c. The Receiving Party agrees not to use or exploit the Confidential Information or other materials related to the Confidential Information or to deal with any person or information introduced by the Disclosing Party to the Receiving Party without the express agreement of the Disclosing Party.
d. The Receiving Party shall not use or access the Confidential Information for any reason except as is necessary to perform present and further business with the disclosing party.
e. The Disclosing Party shall not use or reproduce any of the Confidential Information for any purpose other than that specifically agreed with the Disclosing Party.
f. The Receiving Party shall immediately notify the Disclosing Party of any information which comes to its attention regarding any actual or potential breach of confidentiality, disclosure or unauthorized use of the Confidential Information. The Receiving Party shall co-operate with the Disclosing Party in any investigation, prosecution, litigation or other action taken by the Disclosing Party regarding the subject of any such information.
g. In the event of any actual or alleged breach of confidentiality, disclosure or unauthorized use of Confidential Information by any future, existing or former official, employee, agent or sub-contractor of the Receiving Party the latter shall enforce its rights to injunctive or other relief to the fullest extent possible or, if requested by the Disclosing Party, assign such rights to the Disclosing Party. The receiving Party shall reasonably assist the Disclosing Party in enforcing those rights. The Receiving Party shall at all times remain liable vis-a-vis the Disclosing Party for any actual or alleged breach as stipulated herein.

3. Acknowledgement
The Receiving Party acknowledges that:
a. The Confidential Information constitutes valuable and proprietary information of the Disclosing Party and each of its subsidiaries (if any), and
b. This Mutual Confidentiality Agreement does not grant to the Receiving Party any license or other rights in relation to the Confidential Information except as expressly provided in this Mutual Confidentiality Agreement.
c. Any disclosure of the Confidential Information can give rise to considerable damages to the Disclosing Party.

4. Security Measures
a. The Receiving Party shall establish and maintain effective security measures to safeguard the Confidential Information from unauthorized use access, disclosure or copying.
b. The Receiving Party shall maintain the confidentiality of the Confidential Information and protect it from unauthorized access or use. Remote access to the Disclosing Party`s systems shall not be provided to the Receiving Party until the Disclosing Party approves in writing the method of access as providing suitable access control security to prevent unauthorized access. Such consent may be conditional and may be withdrawn at any time at the discretion of the Disclosing Party.
c. The Receiving Party shall comply with all the Disclosing Party`s security and safety procedures and will permit and co-operate with any additional security or safety precautions, which the Disclosing Party may wish to implement.

5. Assistance
The Receiving Party shall assist the Disclosing party in its evaluation, investigation or implementation of security and safety measures including, but not limited to, providing information which might be relevant to the Disclosing Party`s assessment of whether it should approve access to the Confidential Information by an employee or sub-contractor of the Receiving Party.

6. Return of Confidential Information
a. Upon termination or completion of the Discussions, negotiations or relationship between the parties, the Receiving Party shall:
(i) deliver to the Disclosing Party any Confidential Information in the Receiving Party`s possession that is capable of being delivered, and
(ii) delete, erase or otherwise destroy any Confidential Information contained in computer memory, magnetic, optical, laser, electronic or other recording media in its possession or control which is not capable of delivery to the Disclosing Party.
b. The return, destruction or deletion of the materials referred to in the clause above shall not release the receiving Party from its obligations under this Agreement.

7. Remedies for Breach
The Parties hereby acknowledge and agree that the services they will render and the confidential information and materials disclosed during and by virtue of this Agreement are of a special, unique, and extraordinary character, and that the breach of any provision of this Confidentiality Agreement will cause irreparable damage and injury to the other Party. The non­breaching Party will be entitled to seek any and all legal and/or equitable remedies against the breaching Party in the event of a breach of this agreement.
a. Injunctive Relief. The Parties agree that the non-breaching Party will be entitled to all remedies, including injunctive relief prohibiting disclosure, in the event of a breach of these provisions.
b. Liquidated Damages. In the event of a breach of this Confidentiality Agreement, the breaching Party shall pay the non-breaching Party €10,000 [ten thousand euros] as liquidated damages. The sum is agreed upon as liquidated damages and not as a penalty. The parties hereto have computed, estimated, and agreed upon the sum as an attempt to make a reasonable forecast of probable actual loss because of the difficulty of estimating with exactness the damages which will result

8. Miscellaneous
a. These provisions are in addition to and not in substitution for all other security or confidentiality obligations between the parties.
b. The provisions of this Agreement shall remain in force indefinitely beyond the termination of any discussions, negotiations or relationship between the parties. All Confidential Information shall remain so until such time as it becomes known to the Receiving Party through a legal public source without restriction.
c. The terms of this Agreement are in addition to all obligations of the Receiving Party and where any inconsistency occurs, the provisions of the Agreement shall prevail.

9. Provisions Severable
a. If for any reason a provision of this Agreement or part of it shall be illegal, invalid or unenforceable in any jurisdiction, it shall be read down or severed to the extent necessary so that it may not be so construed.
b. The illegality, invalidity or unenforceability of any provision or part of one in any jurisdiction shall not affect the legality, validity or enforceability of any other provision, or of that provision in any other jurisdiction.

10. No Implied Waiver
Either party`s failure to insist on any one or more instances upon strict performance by the other party of any of the terms of this Mutual Confidentiality Agreement shall not be construed as a waiver of any continuing or subsequent failure to perform or delay in performance of any term hereof.

11. Headings
Headings used in this Mutual Confidentiality Agreement are provided for convenience only and shall not be used to construe meaning or intent.

12. Notices
Any notice required by this Agreement or given in connection with it, shall be in writing and shall be given to the other party by certified mail at the address indicated at the beginning of this Agreement.

13. Governing Law and Settlement of Disputes
This Agreement shall be governed by the laws of Greece and any dispute arising from it shall be referred to the courts of Athens.
